2. Acceptance of Terms

By accessing our website or engaging our legal advisory services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply to all visitors, users, and clients who access or use our services. You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services.

leaxaras provides legal advisory services in Thailand, focusing on:

Our services are provided on a professional advisory basis. We do not handle criminal defense or medical malpractice matters. Service availability may vary based on capacity and practice area expertise.

4. Engagement and Scope

A formal attorney-client relationship is established only through a written engagement letter signed by both parties. This letter will specify:

• Scope of services to be provided
• Fee structure and payment terms
• Expected timeline and deliverables
• Responsibilities of both parties
• Any limitations or exclusions

Initial consultations do not create an attorney-client relationship unless explicitly confirmed in writing. Information shared during consultation is confidential but does not constitute legal advice until formal engagement.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information relevant to your matter
• Respond promptly to requests for information or documentation
• Inform us of any changes in circumstances that may affect the engagement
• Review and approve documents and recommendations in a timely manner
• Pay fees according to the agreed schedule

6. Fees and Payment

Legal advisory fees are determined based on:

• Project-based pricing for environmental and technology advisory
• Annual retainer fees for legal partnership engagements
• Complexity of the matter and required expertise
• Time and resources required to complete the work

Payment terms will be specified in the engagement letter. Generally:

• Project-based fees: 50% upon engagement, 50% upon completion
• Retainer fees: Annual payment or quarterly installments as agreed
• Payment is due within 15 days of invoice date
• Late payments may incur interest charges of 1.5% per month
• All fees are quoted in Thai Baht (฿)

7. Refund Policy

Refund eligibility depends on the stage of engagement:

• Initial retainer fees may be partially refundable if engagement is terminated before substantive work begins
• Project-based fees are non-refundable once work has commenced
• Annual partnership fees are refundable on a pro-rata basis if terminated mid-year, minus completed work value
• No refunds for completed services or deliverables provided

8. Confidentiality and Attorney-Client Privilege

All communications and information shared between you and leaxaras are protected by:

• Attorney-client privilege under Thai law

We will not disclose your confidential information except:

• With your written consent
• As required by Thai law or court order
• To prevent imminent harm or illegal activity
• To professional advisors under confidentiality obligations

9. Intellectual Property

All materials, documents, and work product created by leaxaras remain our intellectual property until all fees are paid in full. Upon full payment:

• You receive a license to use documents for their intended purpose
• Original legal analysis and strategy remain leaxaras property
• Templates and forms may be reused for similar matters
• You may not resell or distribute our work product

All website content, including text, graphics, logos, and design elements, is owned by leaxaras or licensed from third parties. Unauthorized use is prohibited.

10. Disclaimers

No Guaranteed Outcomes: Legal advisory services are provided on a professional best-efforts basis. We cannot guarantee specific results, regulatory approvals, or outcomes.

Not Substitute for Personal Judgment: Our advice should inform your decision-making but does not replace your own business judgment and responsibility.

Changing Laws: Thai legal frameworks, particularly in digital commerce and environmental regulation, continue to evolve. Advice is based on laws in effect at the time provided.

11. Limitation of Liability

• We maintain professional liability insurance as required by Thai Bar Association standards

These limitations do not apply to liability that cannot be excluded by law, including gross negligence or willful misconduct.

12. Termination

By Client: You may terminate the engagement at any time by written notice. You remain responsible for fees for work completed up to the termination date.

By leaxaras: We may terminate an engagement if:

• Fees remain unpaid after 30 days
• You fail to provide necessary information or cooperation
• A conflict of interest arises
• The relationship breaks down making effective representation impossible
• Continuation would violate professional or legal obligations

Upon termination, we will provide copies of your file upon written request and payment of any outstanding fees.

13. Dispute Resolution

Governing Law: These Terms and Conditions are governed by Thai law. Any disputes will be subject to the jurisdiction of Thai courts.

Informal Resolution: Before initiating formal proceedings, parties agree to attempt good-faith negotiation to resolve any disputes.

Mediation: If negotiation fails, parties may agree to mediation through a mutually acceptable mediator in Bangkok.

Jurisdiction: Any legal action must be brought in the courts of Bangkok, Thailand. Both parties consent to the personal jurisdiction of these courts.

14. General Provisions

Entire Agreement: These Terms, together with any engagement letter and our Privacy Policy, constitute the entire agreement between parties.

Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

Waiver: Failure to enforce any provision does not waive our right to enforce it later.

Assignment: You may not assign your rights or obligations without our written consent. We may assign our rights to affiliated entities or successors.

Notices: All formal notices must be in writing and sent to the contact addresses specified in the engagement letter.

15. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated effective date.

Active client engagements will be notified of material changes via email. Continued use of our services after changes constitutes acceptance of the modified terms.

For existing engagements, changes will not affect services already contracted unless mutually agreed in writing.
